By proceeding with the purchase of our products, you signify your acceptance of the terms and conditions outlined in this Offer Agreement. Introduction

1. This Agreement applies to you if you use any of Legal Data Ltd ("Legal Data") Platform, Services or website, whether you are using a paid product or using its free period or are a visitor. When you use our Services you agree to all of these terms. Your use of our Services is also subject to our Terms of use, Cookie Policy and our Privacy Policy, which covers how we provide our services, collect, use, share, and store your personal information.

2. Legal Data may also be referred to as "we," "our," or "us", "Platform" or "Service/s". By registering or sign up for an account or use our Platform you agree according to this Agreement as the individual or legal entity, using a corporate account, becomes a Participant or Subscriber or User ("you" or "your").

3. In this Offer Agreement, unless the context requires otherwise, the following terms have the following meanings:
"Offer" - a public offer made by the Legal Data, addressed to any individual or corporate client, to enter into a sales or purchase Agreement with the Legal Data as a Seller on the existing conditions contained in this Agreement, including all its appendices.
"Acceptance" - the complete and unconditional acceptance by the User of the terms of the Agreement.
"Subscription" - the list of subscriptions offered by the Legal Data and presented on the website.
"Order" - individual items from the list of subscriptions specified by the User when placing an application on the website.
"Service" - a set of services provided to the Legal Data through the website.

4. You may use the Platform only if you can form a binding contract with Legal Data, and only in compliance with this Agreement and all applicable local, state, national, and international laws, rules and regulations. You must read, agree with and accept all of the terms and conditions contained in this Agreement before you may become a Participant. Your access to and use of the Platform is conditioned on your acceptance of and compliance with this Agreement. By accessing or using the Platform or any content provided on or through the Platform you agree to be bound by this Agreement. You will comply with any technical and operational specifications provided or made available by us from time to time with respect to the Platform.

5. If you do not agree to this Offer Agreement or Terms of use, do not click registration bottom "Create an account", "Become a participant" or "Join", "Get contacts now" (or similar) and do not access or otherwise use our Platform. If you wish to terminate your account, you can do so at any time by closing your account and no longer accessing or using our Services or contacting us at info@legal-data.tech.

6. Any new features or tools which are added to the current Service shall be also subject to this Agreement. Legal Data reserves the right to update and change this Offer Agreement by posting updates and changes to the Legal Data website. If you object to any changes, you may terminate this contract without reimbursement of fees for services.

7. Legal Data Offer is made available in connection with a form of Paid Subscription as defined in the Terms of Use and this Agreement.

8. Legal Data does not provide legal services, and the subject matter of this agreement does not involve the provision of legal services.

9. This Agreement are applicable to the Legal Data Service as advertised or announced in the Offer. Additionally, they supplement and incorporate by reference the additional terms and conditions corresponding to the Pricing Page on the Legal Data website. Together, these Agreement and Terms of use, Privacy Policy govern the use of the Legal Data Service and form the complete agreement between you and Legal Data.

10. For any Offers, including promotions offers those provided on various platforms, through email campaigns, advertisements, and other means, received from Legal Data, in the event of any inconsistency between these Agreement and the relevant corresponding terms and conditions referenced in the above table, these Agreement will take precedence.

11. Term. The Agreement will take effect from the date you agree to it (by electronic confirmation of acceptance) and will continue as long as you use the Service, or until it is terminated by you or us in accordance with this Agreement, or until both parties to the Agreement have complied with it.

The Offer

12. This Offer grants you access to the Legal Data Services or to the part of Legal Data Services available on the Legal Data Platform: (a) at the advertised special price, if applicable; and (b) at the price specified on the Pricing page of the official Legal Data website. Additionally, it includes an initial introductory period as described in section 23-31 (Free Plan with Trial Period) of this Agreement, starting from the moment you confirm your acceptance of the Offer through Platform registration as it described in Terms of use and/or submission of valid payment details accepted by Legal Data.

13. Access to the Service is granted based on a subscription, which entails a contractual agreement between the user and Legal Data. A subscription refers to a recurring arrangement where the user pays a fee at regular intervals to maintain access to the Service during the subscription period.

14. A subscription offers certain benefits and features, including, but not limited to full access to the Legal Data Platform, utilization of advanced tools and resources, and availability of additional services. The subscription period is defined by the duration specified in the subscription plan, which can be monthly, annually, or for a specific term as outlined in the corresponding Terms of use or Pricing Page on Legal Data website.

15. Access to the Services or portions of the Services on the Legal Data platform is provided for limited periods of time as established for each active subscription program, as further detailed below.

16. If an individual subscription is purchased by a natural person, such subscription and access to the system are personal and provided only to the person specified as the recipient of the subscription, the participant of the service. If a corporate subscription is purchased, the subscription may include a certain number of individual subscriptions or a specified number of users, provided according to the corporate subscription package. The subscription can also be assigned by an individual to another person, in which case the person for whom the subscription was purchased is considered a user of the system. Personal and individual subscriptions cannot be transferred to other individuals, except for the specifically named individuals as recipients of the subscription. A corporate subscription cannot be shared with a greater number of individuals than stated in the terms of the specific pricing plan. Unauthorized sharing of access with other individuals may result in the termination of access to the subscription for such individuals, without any refund of the subscription fees paid.

17. This Offer is not irrevocable. Legal Data reserves the right to refuse the placement of an order to individuals or legal entities who express their disagreement with the terms of this Agreement.

18. Legal Data shall not be held responsible for any inaccuracies in the Participant's contact information or the content of their order.

Eligibility

19. In order to be eligible for the Offer, Participant must satisfy all of the following conditions (each an "Eligible Participant" or "Eligible User"):
(a) unless you are subscribing to the Offer that is advertised as available to past Subscribers or Participants to a Platform, you must be a new Subscriber to any and all forms of Service of the Planform (as defined in the Terms of Use) and not have subscribed to, or accepted a trial (Free Plan) of, either Legal Data Service at any time in the past;
(b) if you are subscribing to an Offer that is advertised as available only to past Participants or Subscribers to a Legal Data Service, you must have been a Subscriber to the relevant Legal Data Service (as advertised) whose subscription expired before the date advertised;
(c) regarding specific Offers, additional eligibility requirements may apply as stated in the corresponding Terms of use for the respective subscription plans;
(d) unless otherwise advertised, provide Legal Data with a valid and current payment method that is approved by Legal Data and Stripe Payment System; (e) additional eligibility requirements (if any) as advertised from time-to-time in connection with a Promotional Offer. In addition to the aforementioned conditions, eligibility requirements outlined in the Terms of Use are also applicable.

20. In compliance with the Offer, there may be restrictions on the number of times the offer can be used (accepted), including promotional offers. Furthermore, it is possible that a rule may be implemented, that previous users may not redeem the offer again.

Legal Data Service

21. We provide numerous Legal Data Service options. For detailed descriptions and specific details, please refer to our Terms of Use, where you can find comprehensive information about each service we provide. Certain Legal Data Service options are provided free-of-charge, while other options require payment before they can be accessed (the "Paid Subscriptions"). We may also offer special promotional plans (Free Plan), participations or memberships, or services, including offerings of third-party products and services. We are not responsible for the products and services provided by such third parties.

22. Access to the Services or portions of the Services on the Legal Data platform is provided for limited periods of time as established for each active subscription program, as further detailed below.

Free Plan with Trial period

23. From time to time, we or others on our behalf may offer trials or Free Plans of Paid Subscriptions for a specified period without payment or at a reduced rate (a "Trial" or "Free Plan"). By using a Legal Data Service via a Trial, you agree to this Offer.

24. In accordance with the Free Plan, you are granted access for an initial introductory period ("Trial period") starting from the moment you confirm your registration and acceptance of this Offer for the Free Plan conditions posted on the Legal Data website, and/or by submitting valid payment details that are accepted by Legal Data.

25. The Free Plan is exclusively available to new users who have not previously subscribed to or received any services from Legal Data in any form, unless otherwise specified. However, Legal Data reserves the right to restrict the provision of the Free Plan to specific users at its own discretion, at any time and for any reason.

26. An Offer for the Free Plan must be accepted before the applicable expiration date advertised, if any. Except where prohibited by law, Legal Data reserves the right to modify, suspend or terminate a Free Plan at any time and for any reason, in which case we will not honour subsequent Free Plan enrollments.

27. In the case of any Free Plan Offer, the corresponding Trial period shall continue for the period as advertised in according with Promotion Offer or Pricing Page.

28. The standard terms of the Free Plan include providing access for a period of three days, with access granted only to certain features, such as the Legal Search and Lawyers services, unless otherwise specified. Legal Data reserves the right, at its discretion, to modify the duration and scope of the information provided to users on the Free Plan without prior notice. There is no provision for an additional extension of the Free subscription plan. Special conditions for the Free Plan may be established through specific offers, promotional offers, the pricing page, or other means.

29. Unless you cancel a Free Plan before the end of the Trial Period, you will automatically become a recurring subscriber to the type of Legal Data Pro Plan that you chose to sign up to under the Free Plan and the payment method you provided will automatically be charged the then-current monthly price. Any time-capped features of that Legal Data Pro Plan will be reduced by the length of the Free Plan.

30. If you cancel a Free Plan during the Trial Period, you will lose access to the Legal Data Service and your account will switch to a limited at the end of the Trial Period. To cancel, you must log into your Legal Data account and follow the prompts on the Account page or click here and follow the instructions.

31. Prior to the expiration or after the Free Plan, users may be offered to upgrade their subscription to other paid plans. However, until the user accepts the offer for a paid subscription, access to the platform may be limited.

Legal Data Pro Plan

32. The Legal Data Pro Plan is one of the available paid subscription plans offered by Legal Data. It provides users with access to the platform based on an individual named or corporate subscription. The user utilizes the Platform through the granted access provided by the paid subscription, in accordance with the capabilities and limits detailed in the Terms of Use.

33. The User can place an order for a Legal Data Pro Plan subscription through the Legal Data website by selecting the desired items from the provided list. Upon registration (placement) of the order on the Legal Data website, the User agrees to provide all necessary information, including personal data, banking details, email address, and a password known only to the User.

34. Within 3 business days after placing the order and receiving payment of the subscription from the User, in accordance with this Offer Agreement and Stripe Payment Policy, Legal Data grants the User unlimited (or as specified by the chosen subscription plan) access to the materials and features of the Legal Data platform for the duration corresponding to the selected subscription plan. The moment of payment for the subscription is considered to be the moment when the funds are received in the Legal Data's bank account through the payment aggregator system.

35. Legal Data Pro offers various subscription plans, as established on the website's Pricing page or through special offers. The payment for the Legal Data Pro subscription plan, unless stated otherwise on the Pricing page or in a special offer at the time of purchase, amounts to £99 (GBP) per month.

36. Access to the platform will be restricted on the day following the expiration date of the Subscription if you have not renewed your existing Subscription or obtained a new one.

37. The order for accessing the service through a subscription is considered fulfilled at the moment when the unlimited access to the platform's materials expires in accordance with the selected tariff plan.

38. Legal Data shall not be held responsible for any inaccuracies in the Participant's contact information or the content of their order. Legal Data is not liable for delays or non-fulfillment of orders for granting access to the platform through a subscription if the accrual of unlimited access time to the platform's materials was delayed or interrupted due to reasons beyond the control of Legal Data. Such reasons include, but not limit: (a) incorrect email address or telephone number provided or loss of access to the specified email address or loss of access to the Legal Data Platform; (b) inability of the Participant to use the purchased subscription due to a lack of technical capabilities, such as incorrect functioning of the Participant's internet service provider or insufficient software on the Participant's electronic device.

Third-Party Applications

Third-Party Applications, Devices and Open Source Software
39. The Legal Data Service may be integrated with, or may otherwise interact with, third-party applications, websites, and services ("Third-Party Applications") and third-party personal computers, mobile handsets, tablets, wearable devices, speakers, and other devices ("Devices"). Your use of such Third-Party Applications and Devices may be subject to additional terms, conditions and policies provided to you by the applicable third party. Legal Data does not guarantee that Third-Party Applications and Devices will be compatible with the Legal Data Service.

Service Limitations and Modifications

40. We use reasonable care and skill to keep the Legal Data Service operational and to provide you with a personalized, immersive legal experience. However, our service offerings and their availability may change from time to time and subject to applicable laws, without liability to you; for example:
The Legal Data Service may experience temporary interruptions due to technical difficulties, maintenance or testing, or updates, including those required to reflect changes in relevant laws and regulatory requirements.
We aim to evolve and improve our Services constantly, and we may modify, suspend, or stop (permanently or temporarily) providing all or part of the Legal Data Service (including particular functions, features, subscription plans and promotional offerings).
Legal Data has no obligation to provide any specific content through the Platform, and Legal Data or the applicable owners may remove materials and other Content without notice.

41. If you have prepaid fees directly to Legal Data for a Paid Subscription that Legal Data discontinues prior to the end of your Pre-Paid Period (as that term is defined in this Agreement), Legal Data will refund you the prepaid fees for the Pre-Paid Period for any unused part of your then current Paid Subscription after such discontinuation. Your account and billing information must be up to date in order for us to refund you.

42. Legal Data has no liability to you, nor any obligation to provide a refund to you, in connection with internet or other service outages or failures that are caused by the actions of government authorities, other third parties or events beyond our control.

Payments and cancellation

43. You may purchase a Paid Subscription directly from Legal Data or through a third party either by: (a) paying a subscription fee in advance on a monthly basis or some other recurring interval disclosed to you prior to your purchase; or (b)pre-payment giving you access to the Legal Data Service for a specific time period ("Pre-Paid Period"). Tax rates are calculated based on the information you provide and the applicable rate at the time of your monthly charge.

If you purchase access to a Paid Subscription through a third party, separate terms and conditions with such third party may apply to your use of the Legal Data Service in addition to this Agreement.

44. If you buy any of our paid Services, you agree to pay us the applicable fees and taxes and to additional terms specific to the paid Services. Failure to pay these fees will result in the termination of your paid Services. Also, you agree that,
· Legal Data uses the Stripe system (Stripe Payments UK, Ltd) to process payments. We do not store or share any personal information associated with a payment (like Credit Card number, owner, or expiration date). Some information available in Stripe is stored on Stripe as part of the transaction history, therefore we can also store Stripe transaction ID.
· By accessing or using out paid Services, you agree to be bound by this Terms & Conditions and in the Payment Services Agreement on the official Stripe United Kingdom website, as the same may be modified by us or Stripe from time to time.
· Stripe provides Authorised Payment Services, which means that these are services that the U.K. Financial Conduct Authority has authorised to provide. To find out which services are listed, click here. We use Stripe as our Payment Method Acquirer.
· Some Payment Methods require redirection to the Internet Banking page. If you use the Internet Bank Payment Method, you need to verify that the redirection has occurred by displaying the bank's URL in the address bar of your browser and you are able to view the security certificate for the bank's Internet Bank page.
· The final charge, including all taxes, will be displayed before the order is made. The amount of VAT, which may be added to the charge, will be added depending on the location and legal entity of the purchaser.
· Your purchase may be subject to foreign exchange fees or differences in prices based on location (e.g. exchange rates).

45. Legal data is not responsible for the operation of the Stripe payment system. In the event of problems during the payment process, please contact the Stripe payment processor directly.

Price and tax changes
46. Legal Data may from time to time change the price for the Paid Subscriptions, including recurring subscription fees, the Pre-Paid Period (for periods not yet paid), or Codes (defined above), and will communicate any price changes to you in advance on reasonable notice. Price changes will take effect at the start of the next subscription period following the date of the price change. Subject to applicable law, by continuing to use the Legal Data Service after the price change takes effect, you will have accepted the new price. If you do not agree to a price change, you can reject the change by unsubscribing from the applicable Paid Subscription prior to the price change going into effect.

47. Tax rates are based on the rates applicable at the time of your monthly charge. These amounts can change over time with local tax requirements in your country, state, territory or even city. Any change in Tax rate will be automatically applied based on the account information you provide.

Renewal and Cancellation
48. With the exception of Paid Subscriptions for a Pre-Paid Period, your payment to Legal Data or the third party through which you purchased the Paid Subscription will automatically renew at the end of the applicable subscription period, unless you cancel your Paid Subscription before the end of the then-current subscription period. Contact our Customer Support team here info@legal-data.tech for instructions on how to cancel. The cancellation will take effect the day after the last day of the current subscription period, and you will be downgraded to the free version of the Legal Data Service. We do not provide refunds or credits for any partial subscription periods, except as expressly stated in this Agreement.

Withdrawal right
49. If you have purchased a Paid Subscription using a Code, your subscription will automatically terminate at the end of the period stated in the Code, or when there is an insufficient pre-paid balance to pay for the Legal Data Service.

50. I f you sign up for a Free Plan, you agree that the right to withdraw the Paid Subscription for which you receive a Free Plan ends when the Trial Period ends. If you don't cancel the Paid Subscription before the Trial ends, you lose your right of withdrawal and authorise Legal Data to automatically charge you the agreed price each month until you cancel the Paid Subscription. However, Legal Data has the right to refuse to accept such authorization for automatic subscription fee deduction. In such a case, in order to maintain access to the service, you will be required to make the subscription payment and renew it manually.

51. If you purchase a Paid Subscription with no Trial Free Plan, you agree you have fourteen (14) days after your purchase to withdraw for any reason and must pay us for the services provided up until the time you tell us that you have changed your mind. You expressly consent to us providing you with the service immediately following your purchase, that you lose your right of withdrawal, and authorise Legal Data to charge you automatically each month until you cancel. Refunds to your bank account are possible only to the bank account used for the Subscription payment.

52. All Legal Data Services may not be available to all Users or Participants. We will explain which Services are available to you when you are signing up for the Services. If you cancel your subscription to the Legal Data Pro Plan or Free Plan or other, or if your subscription to the Legal Data Pro Plan or Free Plan is interrupted (for example, if you change your payment details), you may not be able to re-subscribe for the Legal Data Pro Plan or Free Plan. Note that the Legal Data Pro Plan or Free Plan may be discontinued in the future, in which case you will no longer be charged for the Service.

Payments between Participants and Lawyers
53. Except for our limited role in processing payments that you authorise or initiate, we are not involved in any underlying transactions between you and any other Participants or Lawyers registered in our Service. We are not a bank and do not offer banking services. We do not guarantee payment on behalf of any Participant. We do not act as a sales agent in connection with any sale or purchase by you of goods or services to any person. We do not control the quality, suitability, safety, reliability, legality or any other aspect of any goods or services that you may purchase or sell between our Participants, Lawyers or any third parties.

Availability
54. An Offer for Legal Data Pro Plan or Free Plan must be accepted before the applicable expiration date advertised or announced, if any. Except where prohibited by law, Legal Data reserves the right to modify, suspend or terminate an Offer at any time and for any reason, in which case we will not honour subsequent Offer enrollments.

Privacy Policy

Your privacy
55. Confidentiality and the protection of personal information is very important to us. You acknowledge that you have received, read fully and agree to the terms of our Privacy Policy linked to and incorporated by reference into this Agreement, which also contains your consent to our collection, use, storage and disclosure of personal information. This Privacy Policy also explains how and for what purposes we collect, use, retain, disclose and protect the personal information you provide to us.

56. To exercise your rights, you may contact our DPO at info@legal-data.tech. If you are a resident of the EEA and you believe our processing of your information is not in line with the General Data Protection Regulation (GDPR), you may direct your questions or complaints to the Irish Data Protection Commission. If you are a resident of the UK, you may direct your questions or concerns to the UK Information Commissioner’s Office. If you live in a country of another jurisdiction, you may apply to the authorized body depending on your location. Legal Data Ltd identified as your data controller.

Privacy of Others
57. If you receive information about others through the use of Service, you must keep such information confidential and may only use it in connection with the Service. You may not disclose or distribute any such information to third parties or use any such information for marketing purposes unless you have received explicit consent from the user to do so. You represent to us that you are and will continue to be in compliance with all applicable privacy laws.

Miscellaneous

Notices and Messages
58. You agree that we will provide you with disclosures, notices about the Service and messages to you by posting such disclosures and notices on our website, by sending by email to the email address specified in your registration to keep your contact information up to date. You also agree that electronic disclosures and notices have the same value and effect as if we had provided you with a paper copy. Such disclosures and notices will be deemed received by you within 24 hours of being posted on our website or emailed to you, unless we receive notice that the email has not been delivered. Please contact us at info@legal-data.tech to control and limit messages you receive from us.

References to Our Relationship
59. In reference to our relationship, you acknowledge that we have the right to identify you as a customer or Participant from the moment you register or start receiving our Service. It is prohibited for both parties to suggest any false sponsorship, endorsement, or affiliation between you and us.

Additional Services
60. Time to time we may offer you extra features or additional services. These services may have different rules or conditions compared to this Service. Before using any additional service, you need to agree to the specific rules that apply to that service. It's important to note that your use of additional services won't affect the rules of this Agreement that apply to the Platform, unless we explicitly state otherwise.

Marks Usage
61. You may use the Legal Data Ltd name and logo ("Legal Data Marks") to let your customers know that Legal Data Ltd. provides platform services for your business or individual practice. The Legal Data Marks are important assets of Legal Data's business, and they are protected by England and Wales and international copyright and trademark laws.

62. We grant you permission to use the Legal Data Marks on a non-exclusive, non-transferable basis. This permission may be revoked at any time at our discretion. You may only use the this Marks on that portion of your website or application that directly relates to platform services that we provide you. You won't imply any relationship with Legal Data other than the one that actually exists.

63. We may provide you with style or usage guidelines from time to time, including such things as size, colour or placement. Unless we agree otherwise, you will use the Legal Data Marks only in a way that is consistent with those guidelines. You will update your use of the Legal Data Marks to conform to changes in the guidelines within a reasonable time after we provide you notice of the change.

64. You may not use the Legal Data Marks or the term "Legal Data" in ways that could cause confusion or misrepresentation. This includes using them in the name of a third-party service or publication, incorporating them into your own service or trademarks, or suggesting an inaccurate affiliation with Legal Data. Additionally, you should refrain from using the Marks in hidden or disparaging manners on web pages. We kindly ask you to respect these guidelines to ensure a user-friendly and transparent experience for all. You will not display, copy, modify or transmit the Legal Data Marks in any way except as described in this Agreement or otherwise agreed in writing by Legal Data Ltd.

Liability

Disclaimer and Limit of Liability
65. Under applicable law, you may have certain rights that can't be limited by a contract. This Agreement is in no way intended to restrict those rights.

No Warranty
66. LEGAL DATA MAKES NO REPRESENTATION OR WARRANTY ABOUT THE SERVICES, INCLUDING ANY REPRESENTATION THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND PROVIDE THE SERVICES (INCLUDING CONTENT AND INFORMATION) ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, LEGAL DATA DISCLAIMS ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF TITLE, ACCURACY OF DATA, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

67. THE DISCLAIMING ENTITIES DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY OR A LAWYER, WHICH CONTACTS WAS PROVIDING BY LEGAL DATA, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND LEGAL DATA WILL NOT BE A PARTY TO OR IN ANY WAY MONITOR ANY TRANSACTION BETWEEN YOU AND LAWYERS OR THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

Exclusion of Liability
68. TO THE FULLEST EXTENT PERMITTED BY LAW (AND UNLESS LEGAL DATA HAS ENTERED INTO A SEPARATE WRITTEN AGREEMENT THAT OVERRIDES THIS CONTRACT), LEGAL DATA WILL NOT BE LIABLE IN CONNECTION WITH THIS CONTRACT FOR LOST PROFITS OR LOST BUSINESS OPPORTUNITIES, REPUTATION (E.G., OFFENSIVE OR DEFAMATORY STATEMENTS), LOSS OF DATA (E.G., DOWN TIME OR LOSS, USE OF, OR CHANGES TO, YOUR INFORMATION OR CONTENT) OR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, HACKING, TAMPERING. LEGAL DATA WILL NOT BE LIABLE TO YOU IN CONNECTION WITH THIS CONTRACT FOR ANY AMOUNT THAT EXCEEDS (A) THE TOTAL FEES PAID OR PAYABLE BY YOU TO LEGAL DATA FOR THE SERVICE DURING THE TERM OF THIS CONTRACT, IF ANY.

69. THE DISCLAIMING ENTITIES ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (A) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF THE PLATFORM SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF SERVERS USED IN CONNECTION WITH SERVICE AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (D) ANY SOFTWARE BUGS, VIRUSES, TROJAN HORSES, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE; (E) ANY ERRORS, INACCURACIES OR OMISSIONS IN ANY CONTENT OR INFORMATION, FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT OR INFORMATION, IN EACH CASE EMAILED, STORED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (F) USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

70. FOR CLARIFICATION, THESE TERMS DO NOT LIMIT LEGAL DATA'S LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH OR PERSONAL INJURY TO THE EXTENT THAT APPLICABLE LAW WOULD PROHIBIT SUCH A LIMITATION AND FOR ANY OTHER LIABILITY THAT, BY APPLICABLE LAW, MAY NOT BE LIMITED OR EXCLUDED.

71. THIS LIMITATION OF LIABILITY SECTION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING WITHOUT LIMITATION CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER BASIS. THE LIMITATIONS APPLY EVEN IF THE DISCLAIMING ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

72. THE FOREGOING WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

73. We have no liability for any third party communications you may receive or any actions you may take or refrain from taking as a result of any third party communication you receive on the Platform. You are solely responsible for assessing and verifying the identity and trustworthiness of the source and content of any third party communications. We are not responsible for verifying, and make no representations or warranty regarding any third party communications on the Platform.

Governing Law and Dispute Resolution

75. We reserve the right to seek all remedies available at law and in equity for violations of this Agreement, including but not limited to the right to block access from a particular internet address to this Site and any other Sites operated by us or our affiliates and their features.

Changes

76. Legal Data reserves the right, at its sole discretion, to modify or replace this Offer Agreement at any time. If the alterations constitute a material change to this Agreement or the Terms of use, Legal Data can notify you by posting an announcement on the site. What constitutes a material change will be determined at Legal Data sole discretion. You shall be responsible for reviewing and becoming familiar with any such modifications. Using any service or viewing any content following notification of a material change to this Agreement and Terms of use shall constitute your acceptance of the Policy as modified.

Concluding conditions

77. Compliance with Applicable Laws. As an illustration and not a limitation, the Service must not be used to:
· Impersonate, insult, harass, threaten, or intimidate any individual.
· Post or transmit messages or offers with the intention of obtaining a password, account, or personal information from any Participants.
· Your Create or transmit unsolicited "spam" to anyone.
· Transmit Content that contains viruses, worms, malware, Trojan horses, or other Content designed to disrupt, damage, or limit the functionality of any software, hardware, or telecommunications equipment, or to gain unauthorized access to any data or other information.
· Phishing
· Transmit Content that infringes on any proprietary rights of any party, including but not limited to patents, trademarks, trade secrets, copyrights, rights of public use, or other rights.

Assignment
79. Legal Data may assign any or all of this Agreement, and may assign or delegate, in whole or in part, any of its rights or obligations under this Agreement. You may not assign this Agreement, in whole or in part, nor transfer or sub-license your rights under this Agreement, to any third party.

Severability
80. If a court with authority over this Agreement finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of this Agreement.

81. This Agreement (including additional terms that may be provided by us when you engage with a feature of the Service) is the only agreement between us regarding the Service and supersedes all prior agreements for the Service.
